Terms of Service
1. Hello, and welcome
These terms govern your use of the Cerclepay platform, operated by Cerclepay LLC, a limited liability company registered in the State of Wyoming, United States (filing ID 2026-001980599). By creating an account, you agree to these terms.
2. Who can use Cerclepay
Cerclepay is intended for businesses, associations and operators of membership programmes — not for end-member consumers, who interact with their operator rather than us directly. You must be a legal entity (or self-employed individual) with authority to sign contracts.
3. Your account
You're responsible for the security of your dashboard, API keys and admin invites.
- Use SSO where available.
- Don't share API keys across environments.
- Tell us as soon as you suspect a key has been exposed — we'll rotate it free.
4. Acceptable use
You may not use Cerclepay to process payments for prohibited categories (firearms, illegal drugs, deceptive or fraudulent services). The full Acceptable Use Policy is published alongside these terms and forms part of the contract.
5. Your members
Your members are your responsibility — including their consent to be billed, their right to cancel, their right to a refund where required by law. We give you the tools to honour those rights; you remain the operator who applies them.
6. The platform
Cerclepay provides recurring billing, dunning, member messaging, retention, analytics, and an account portal for your members. Scope is governed by your subscription plan or order form.
7. Fees & trial
Monthly fees are charged in advance on the day you sign up at the plan rate you chose. There is no free trial. Yearly plans are paid up front and prorated on cancellation.
8. Data & privacy
Our Data Processing Addendum is incorporated by reference. Personal data processing is governed by our Privacy Policy.
9. The boring legal bits
We warrant the platform will operate substantially as described. Liability is capped at fees paid in the preceding 12 months. We are not liable for indirect or consequential losses to the extent permitted by law.
10. Ending the contract
Either side can end the contract for material breach uncured for 30 days. On end, we keep your data read-only for 90 days so you can export.
11. Law & jurisdiction
Wyoming (USA) law governs these terms. Disputes are subject to the exclusive jurisdiction of the courts of Sheridan County, Wyoming, subject to mandatory EU consumer rules where applicable.
